License Agreement
This License Agreement ("Agreement") is entered into by and between Stylokit, a technology company ("Licensor"), and the individual or entity agreeing to these terms ("Licensee").
License Grant
Subject to the terms and conditions of this Agreement, Stylokit hereby grants Licensee a non-exclusive, non-transferable license to use the software ("Software") in accordance with the terms specified herein.
Permitted Use
Licensee may install and use the Software on a single computer or device for internal business purposes only.
Restrictions
Licensee shall not:
Modify, adapt, or translate the Software.
Reverse engineer, decompile, or disassemble the Software.
Transfer, sublicense, or distribute the Software to any third party.
Ownership
Stylokit retains all right, title, and interest in and to the Software, including all intellectual property rights.
Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. STYLOKIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT
Limitation of Liability
IN NO EVENT SHALL STYLOKIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THIS AGREEMENT.
Term and Termination
This Agreement shall commence upon the Effective Date and shall continue until terminated. Stylokit may terminate this Agreement immediately upon notice if Licensee breaches any term herein.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflicts of law principles.
Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
